The study undertaken by PwC-Spain bases its analysis on the results of interviews undertaken in 36 listed companies, as well as on the existing public information. The report analyses how the boards of listed companies function and their commissions, the commitment and compensation of independent advisors, and also incorporates the advisors opinion on the perspectives for evolution of specific aspects of corporate governance. It also reveals how the opinions of the interviewees are slightly more negative than the previous year, possibly as a result of the prolongation of the economic crisis, which has had an impact on the role of boards of directors.
The study of the boards of directors undertaken by PwC-USA summarises a survey to which 864 directors (67% of whom belonged to companies with a turnover of more than $1,000 M). It debates issues linked to greater compensation transparency, risk management and diverse functions applicable to the board of directors, such as specific issues for the future including succession planning, diversity (international experience, gender) and training amongst other issues.
