Boards of Directors: Governance, Strategy, Finance and Responsibility

To equip participants with the basic tools to effectively undertake duties on boards of directors in areas that are common to all companies:

  • Becoming familiar with current developments on the composition, organisation and operation of social organs.
     
  • Establishing the basic elements to be defined in the Strategic Plan, the main indicators and monitoring methodologies.
     
  • Understanding the financial structure and tools for evaluating investments.
     
  • Analysing how to deal with financial and economic tensions and risk prevention, a particularly important issue in crisis environments.

This programme has been specially designed for board members of listed companies, family businesses and companies partly owned by  a venture capital entity, and for senior management with board access and participation.

BLOCK 3 - Financial analysis of projects. Restructuring of debit.

BLOCK 4 - Responsibility of the administrators.

METHODOLOGY ADAPTED TO REQUIREMENTS

ESADE Business School Executive Education programmes for managers are an open forum for ideas and knowledge in which each participant is an active protagonist in his or her own learning process. Our methodology implies a constant challenge to preconceived ideas and traditional teaching processes. Our research in the area and experience accumulated over the years tells us that there is no one single methodology. In every situation, the appropriate methodology depends on the objectives of the programme, the skills to be exercised and the attitudes and behaviour being reinforced.

DYNAMIC LEARNING

Classroom training includes participative classes, group work, presentations and virtual simulations, among others. This means that participants can set out and debate key management concepts and the design of the development strategy of the company. The programme combines reflection and training, focussing on the basic aspects of company management as seen from the Board. Special emphasis is given to the practical application of all concepts dealt with.

INTERACTION

One of the key elements of this learning model is undoubtedly the contribution made by participants themselves. Through exchange of experiences, they enrich the knowledge acquired both inside and outside the classroom. Selection of the participants, group discussions, business lunches and social activities all help to promote a dynamic exchange and sharing of knowledge between colleagues from different business sectors and fields. Participants establish friendships and a network of contacts for their business that will continue outside the classroom.
