Corporate Finance. Value Creation: ¿real or imaginary?

- To provide a systematic approach to the analysis of corporate operations that enable the creation of value from the financial management point of view.
- To familiarise participants with the tools used in the investment banking and venture capital sectors in conducting corporate operations.
- To facilitate a participant debate on the different approaches to this type of operation.
This training is particularly targeted at CEOs, CFOs, controllers and auditors as well as private investors who are, or may be, involved in strategic decision making at the highest level and required to assess the consequences and financial implications of those decisions.
Module 1
- Analysis of Investment decisions in Capex. Most common financial methods used for the analysis of investment projects (VAN, TIR, PAYBACK, etc).
- Valuation of Companies: difference between Value and Price. Static, dynamic (DCF and Dividends) and mixed Valuation Methods. The multiples. Valuations and Price ranges. Key factors: relationship between value, growth and return.
- Debt and value creation. The risk-return relationship. Equity cost. Debt and Rating costs. The weighted cost of resources (WACC and APV). Determinants: the optimal capital structure, the Rating relationship. Capital structure and leverage.
Module 2
- Mergers and acquisitions: key factors for success.
- Special operations: flotations and takeovers.
- Private Equity funds (Risk Capital).
Module 3
- High leverage operations: LBOs; Finance Project.
- Long term financial planning.
Methodology adapted to needs
